Welcome to Resaluvia. These Terms & Conditions ("Terms") govern your use of our platform. By registering and using Resaluvia, you agree to these Terms. If you do not agree, please do not use our platform. These Terms apply to all users regardless of role.

1. About Resaluvia

1.1 Platform Description

Resaluvia is a digital recruiting and matching platform in the healthcare sector. We provide the technical infrastructure that enables international medical professionals ("Medical Talents") to connect with German healthcare institutions ("German Institutions").

1.2 What We Are NOT

Resaluvia is explicitly NOT:

a traditional recruitment agency
a party to any employment contracts
liable for placement or hiring outcomes
a commission-based recruitment service

We exclusively provide the platform infrastructure.

2. User Accounts

2.1 Account Types

We offer two account types: Medical Talent and German Institution.

2.2 Registration Requirements

To create an account, you must:

be at least 18 years old
provide a valid email address
create a secure password
select your role (Medical Talent or German Institution)
verify your email address

2.3 Role Selection

You may only select one role. Role changes must be requested via support and are at our sole discretion.

2.4 Account Security

You are responsible for maintaining the confidentiality of your password and account. You are liable for all activities under your account. You must immediately notify us of any unauthorized access or suspected breach.

2.5 Account Accuracy

You must provide accurate, current, and complete information. You are responsible for updating your information as needed.

3. Medical Talent Terms

3.1 Profile Creation

Medical Talents may create profiles containing personal information, qualifications, work experience, language skills, location, and uploaded documents.

3.2 Profile Visibility

Your profile is visible to German Institutions only when your account is Active and your subscription is current.

3.3 Profile Statuses

Your profile can have the following statuses:

Draft - profile incomplete, not visible
Active - profile complete and visible to institutions
Hidden - intentionally hidden by you
Suspended - suspended by admin for violations

3.4 Document Uploads

You represent that any documents you upload are accurate, authentic, and that you have the right to share them. You control document visibility settings on your profile.

3.5 Contact Control

You may block or unblock German Institutions from contacting you at any time.

4. German Institution Terms

4.1 Institution Registration

When registering as a German Institution, you must provide your organization name, type, address, and contact person information.

4.2 Approval Process

Your institution account will undergo an approval process before becoming Active. Your account may be in one of these statuses:

Pending - awaiting approval
Active - approved and operational
Suspended - suspended by admin for violations

4.3 Platform Usage

Platform access is free. You may search and filter Medical Talents, view profiles, initiate contact, and use our messaging system.

4.4 Prohibited Conduct

German Institutions must not:

misrepresent their organization or intentions
send spam or unsolicited messages
use the platform for non-healthcare purposes
sell or share Medical Talent data

5. Subscription and Payment (Medical Talents)

5.1 Subscription Model

A subscription is required for your profile to be visible to German Institutions and to use our messaging system.

5.2 Subscription Terms

Subscriptions are monthly and auto-renewing. You may cancel anytime via your dashboard without penalty.

5.3 Payment Processing

Payments are processed via Stripe. By subscribing, you authorize recurring monthly charges to your payment method.

5.4 Price Changes

We will provide 30 days notice of any price changes. Continued use of the platform after the notice period constitutes your acceptance of the new price.

5.5 Invoices

Invoices are automatically generated and available in your dashboard for download and record-keeping.

6. Cancellation and Refund Policy

6.1 How to Cancel

You may cancel your subscription anytime via your account dashboard.

6.2 Effect of Cancellation

Your subscription remains active until the end of your current billing period. No further charges will be applied. Your profile will become invisible after cancellation.

6.3 Refund Policy

We do not offer refunds for partial billing periods. Exceptions may be made for technical errors or billing disputes, which will be reviewed case-by-case.

6.4 Right of Withdrawal (EU)

As a consumer, you have a 14-day right of withdrawal. This right is lost when the service begins immediately at your request.

7. Platform Communication

7.1 Messaging System

The platform provides 1:1 messaging between Medical Talents and German Institutions.

7.2 Communication Rules

All communication must be professional. You must not send spam, harassment, abuse, or automated messages. Violations may result in account suspension.

7.3 Message Storage

Messages are persistent and stored on our servers. Administrators may access messages for moderation and dispute resolution purposes.

7.4 Reporting

Users may report inappropriate messages or conduct. Our admin team will review reports and take appropriate action.

8. User Conduct

8.1 Acceptable Use

You must use the platform for lawful purposes related to healthcare recruitment only.

8.2 Prohibited Activities

You must not:

provide false or misleading information
impersonate other users
transmit malware or harmful code
attempt unauthorized access
scrape or copy data from the platform
use the platform for illegal purposes
send spam or unsolicited messages

9. Content Ownership

9.1 Your Content

You retain ownership of all content you upload or create. By uploading, you grant us a non-exclusive license to use your content to operate the platform and facilitate recruitment.

9.2 Our Content

All platform content, design, and functionality are protected by copyright. You may not copy, modify, or distribute our content without permission.

10. Account Suspension and Termination

10.1 Suspension by Admin

We may suspend your account for violations of these Terms, fraud, false information, abuse, or if reported by other users.

10.2 Account Deletion by User

You may delete your account via your dashboard. Your profile will be removed from the platform. Invoices are retained for 10 years for accounting purposes.

10.3 Effect of Termination

Upon suspension or deletion, your right to use the platform ceases immediately. Certain provisions survive termination, including limitations of liability and governing law.

11. Disclaimers

11.1 Platform "As Is"

The platform is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose.

11.2 No Employment Guarantee

We do not guarantee employment, placement, or successful recruitment outcomes.

11.3 User Verification

While we may review user information, we do not verify the accuracy or authenticity of profiles or documents.

11.4 Third-Party Actions

We are not responsible for actions taken by other users, including harassment, fraud, or contractual breaches.

12. Limitation of Liability

12.1 Exclusion

We exclude liability for indirect, incidental, special, or consequential damages, including lost profits or data loss.

12.2 Maximum Liability

Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

12.3 German Law Exceptions

These limitations do not apply to liability for death or personal injury, fraud, or violations of mandatory German law.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or costs arising from your use of the platform, violations of these Terms, or your content.

14. Changes to Terms

We may modify these Terms at any time with 30 days notice. Continued use of the platform after the notice period constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

15.1 Governing Law

These Terms are governed by German law.

15.2 Jurisdiction

For business users, exclusive jurisdiction is Cottbus District Court. For consumers, statutory jurisdiction applies.

16. Dispute Resolution

16.1 Online Dispute Resolution

EU consumers may access the ODR platform at https://ec.europa.eu/consumers/odr.

16.2 Arbitration

We are not obligated to participate in consumer arbitration before a dispute resolution body.

17. Severability

If any provision of these Terms is unenforceable, that provision is severed and the remaining provisions continue in full effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Resaluvia.
